This site (the "Demo") is a private, time-limited demonstration of the LouieAuto product. By accessing the Demo, you ("Evaluator") agree to the following terms.

1. Permitted Use

The Demo is provided solely for the purpose of evaluating LouieAuto's capabilities for a potential acquisition, license, or commercial relationship. Access is granted only to the individual or entity for whom an access token was issued.

2. Prohibited Use

1. You may not redistribute, share, sublicense, or transfer the Demo URL, access token, or any access credentials to any third party.
2. You may not reverse-engineer, decompile, scrape, or otherwise attempt to extract the source code, system prompts, business logic, or proprietary methods underlying the Demo.
3. You may not use the Demo, its UI, its outputs, or any insights derived from it to build, train, or inform any competing product.
4. You may not record, screenshot, or publicly disclose the Demo's contents without prior written consent from LouieAuto.
5. You may not use the Demo for any production, commercial, or live customer-facing purpose.

3. Confidentiality

All non-public information observed in the Demo — including UI design, feature set, data models, AI prompt strategies, lender intelligence, and any business processes demonstrated — is Confidential Information of LouieAuto and is subject to any executed Mutual Non-Disclosure Agreement between the parties. Absent an executed NDA, you agree to treat all Demo contents as confidential and proprietary.

4. Demo Data

All customer names, phone numbers, emails, vehicle records, deal records, and dealer metrics shown in the Demo are entirely fictional and synthesized for demonstration purposes. They do not represent any real person, vehicle, transaction, or business. Any resemblance to actual persons, businesses, or events is coincidental.

5. No Warranty

The Demo is provided "as is" without warranty of any kind. LouieAuto makes no representation regarding the Demo's availability, performance, completeness, or fitness for any particular purpose.

6. Intellectual Property

All software, designs, content, trademarks, and trade secrets associated with the Demo and the LouieAuto product remain the exclusive property of LouieAuto. No license or transfer of intellectual property is granted by access to the Demo.

7. Access Revocation

LouieAuto may revoke Demo access at any time, for any reason, without notice. Access tokens have a defined expiry; expired or revoked tokens will receive no further service.

8. Watermarking and Audit

Each Demo build is uniquely watermarked. Usage of the access token is logged. Distribution of the Demo URL or any captured content can be traced to the originating Evaluator and may result in legal action.

9. Governing Law

These terms are governed by the laws of the State of Illinois, United States. Any dispute arising shall be resolved in the courts of the State of Illinois.
